Terms of Service

Welcome to Rexii ("Rexii," the "App," or the "Service"), a product of Rexii, Inc. ("we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of Rexii.

By downloading, installing, or using Rexii, you agree to be bound by these Terms.

We grant you a limited, revocable, non-exclusive, non-transferable license to use Rexii for personal or internal business purposes, subject to these Terms.

You may not:

• Reverse engineer, decompile, or attempt to extract source code

• Circumvent security, access controls, or usage limits

• Use Rexii to violate applicable laws or regulations

• Use Rexii to surveil, spy on, or collect information about others without consent

• Misuse voice recognition or system-level features

Rexii operates in two distinct modes:

Privacy Mode (Default): All AI processing occurs locally on your device. Voice recordings, commands, and outputs never leave your machine. This mode requires no account and provides complete data isolation.

Cloud Mode: Voice input and text requests are sent to our cloud infrastructure for processing by third-party AI providers. Cloud Mode requires a Rexii account (Google sign-in) and is governed by both this policy and our Privacy Policy.

When explicitly activated by you, Rexii may access visible portions of your screen to determine context, identify input fields, or act on highlighted content.

• Screenshots are processed in memory only

• Screenshots are never stored

• Screen data is used solely to fulfill user-initiated actions

Rexii may:

• Process voice audio to understand commands

• Access visible portions of your screen for context

• Identify application windows and interface elements

Privacy Mode: Voice recordings and screenshots are processed in memory only and never stored or transmitted.

Cloud Mode: Voice audio is transmitted for processing but not permanently stored. Screenshots remain local and are never transmitted to our servers.

When you use Rexii's assistant or background features, Rexii may generate and store user-visible outputs, including:

• Assistant responses

• Generated text or images

• Task results, summaries, or conversation history

These outputs are retained indefinitely until deleted by you or until your account is deleted.

Raw voice audio, screenshots, and third-party integration source data are not stored.

Privacy Mode: No data is stored or transmitted outside your device.

Rexii supports optional integrations with third-party services through OAuth.

6.1 Authorized Access Only

Rexii:

• Accesses only data explicitly authorized through OAuth scopes

• Cannot access data outside granted permissions

• Acts only on user-initiated commands

Depending on the integration, Rexii may read, draft, create, modify, or retrieve content as explicitly requested by you.

6.2 No Automated or Background Actions

Rexii does not perform automated, scheduled, or background actions on connected third-party accounts.

All actions occur solely in response to explicit user commands.

6.3 User Control & Revocation

You may revoke integration access at any time through:

• Third-party account permissions, and/or

• Rexii's in-app integration settings

Revoking access immediately disables related features.

Rexii's access to Google user data is strictly limited to providing user-requested functionality.

Rexii:

• Does not store Gmail, Google Calendar, or Google Drive source data

• Processes Google data transiently to fulfill commands

• Does not use Google data for advertising, analytics, personalization, or model training

• Does not transfer Google data except to fulfill user requests, comply with law, or protect service security

All access to Google user data complies with the Google API Services User Data Policy, including Limited Use requirements.

No human at Rexii, Inc. may access user content except:

• With explicit user consent

• When required for security or abuse investigations

• When required by applicable law

Any permitted access is limited, logged, and audited.

Rexii uses AI systems (local models in Privacy Mode, cloud LLMs in Cloud Mode) to process voice commands and generate responses.

AI-generated outputs may be inaccurate, incomplete, or outdated. Rexii does not provide legal, medical, financial, or professional advice. You use all outputs at your own discretion and risk.

You are solely responsible for reviewing and verifying the accuracy, legality, and appropriateness of AI-generated content before acting on it.

You agree to:

• Use Rexii only for lawful purposes

• Obtain consent before processing others' data

• Not bypass or interfere with safety, security, or detection mechanisms

• Not disrupt or degrade the Service

You are solely responsible for reviewing and verifying the accuracy, legality, and appropriateness of AI-generated outputs.

Cloud Mode Accounts:

Cloud Mode requires a Google account for sign-in. You are responsible for maintaining the confidentiality of your account credentials.

Account Deletion:

You may delete your account at any time through the app settings. Upon deletion:

• Authentication credentials are permanently removed

• Stored assistant content and preferences are deleted

• Local data in Privacy Mode remains unaffected

Free Tier: Privacy Mode features are available at no cost indefinitely.

Paid Plans: Cloud Mode features require a paid subscription. Plans are billed monthly or annually as selected. All charges are non-refundable except as required by law or during the 14-day trial period.

Free Trial: Pro features may be trialed free for 14 days. At trial end, your account reverts to the Free tier unless payment information is provided.

All content, code, trademarks, and designs in Rexii are owned by Rexii, Inc. or its licensors. Nothing in these Terms grants you ownership of any intellectual property.

You retain ownership of content you create or input into Rexii. You grant us a limited license to process such content solely to provide the Service.

Disclaimers:

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, REXII DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REXII SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

We may suspend or terminate your account if:

• You violate these Terms

• You misuse or attempt to bypass system protections

• You pose a security, legal, or compliance risk

• Required by law or regulatory authority

Upon termination, your license to use Cloud Mode ceases immediately. Privacy Mode functionality remains unaffected.

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice. Continued use after changes constitutes acceptance of the revised Terms.

These Terms are governed by the laws of Delaware, United States, without regard to conflict-of-law principles.
